These Terms of Service ("Terms") govern your use of Inventyl, the inventory management service available at inventyl.com and api.inventyl.com (the "Service").
The Service is provided by Crossthread, a sole proprietorship ("Crossthread", "we", "us"). You can reach us at support@inventyl.com.
By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of a business, you confirm you are authorized to accept these Terms for that business, and "you" means that business.
1. Who can use Inventyl
The Service is intended for business use. You must be at least 18 years old and able to form a binding contract. You are responsible for keeping your login credentials secure and for all activity under your account and organization.
2. Plans
- Free — for one user, up to 100 items and one location, including exports.
- Pro — US$29 per month per organization (or the annual price shown at checkout), with unlimited items, multiple locations, team members, scheduled reports, API access and saved export presets.
Current features, limits and prices are listed on our Pricing page. We may change plans or prices in the future; price changes for an existing subscription take effect at your next renewal after we have given you at least 30 days' notice by email.
3. Payments and our reseller
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Paddle's Buyer Terms apply to your purchase.
Subscriptions renew automatically at the end of each billing period until cancelled. Prices may be shown excluding sales tax or VAT, which Paddle calculates and collects where applicable.
4. Cancellation and refunds
You can cancel at any time from Settings → Billing. Cancellation stops future renewals; your Pro features remain available until the end of the period you have paid for.

5. Downgrades and plan limits
If your subscription ends or you move to the Free plan while using more than the Free limits, we do not delete your data. You keep access to view and export it, but you can't add items, locations or team members beyond the Free limits until you upgrade.
6. Your data
You own the data you put into the Service ("Customer Data"). You grant us a limited right to host, process and display Customer Data only as needed to provide, secure and support the Service. We handle personal information as described in our Privacy Policy.
You can export your data at any time. If you delete your organization or account, we delete the associated Customer Data from our active systems within 30 days; copies in backups are removed as those backups expire.
7. Acceptable use
You agree not to:
- use the Service for anything unlawful, or to store content you have no right to store;
- attempt to access other customers' data, probe or disrupt the Service, or bypass plan limits or security controls;
- send excessive automated requests beyond reasonable API use, resell the Service, or copy it to build a competing product.
We may suspend accounts that violate these rules or put the Service or other customers at risk. Where practical we will contact you first.
8. Availability and changes
We work to keep the Service available and your data safe, including regular backups, but we don't guarantee the Service will be uninterrupted or error-free. We may improve, change or discontinue features. If we discontinue the Service as a whole, we will give at least 60 days' notice so you can export your data, and refund any prepaid, unused subscription period.
9. Disclaimer
Except as expressly stated in these Terms, the Service is provided "as is" and "as available". To the extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. Inventyl helps you track inventory; you remain responsible for verifying stock levels, prices and records used for business, accounting or tax decisions.
10. Limitation of liability
To the extent permitted by law:
- neither party is liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data, even if advised of the possibility;
- our total liability for all claims relating to the Service is limited to the amount you paid for the Service in the 12 months before the event giving rise to the claim (or US$100 if you use only the Free plan).
Nothing in these Terms limits liability that cannot be limited by law.
11. Termination
You may stop using the Service and delete your account at any time. We may terminate or suspend your access if you materially breach these Terms and don't fix the breach within a reasonable time after notice, or immediately where required by law or to protect the Service.
12. Changes to these Terms
We may update these Terms. If a change is material, we will notify account owners by email or in the app at least 30 days before it takes effect. Continuing to use the Service after that date means you accept the updated Terms.
13. Governing law
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable there. The courts of Alberta have jurisdiction over any dispute, unless mandatory law where you are located gives you the right to bring a claim elsewhere.
